ACCOMMODATION PROVIDER AGREEMENT

This agreement is between you, the Hotel, and www.roomcrs.com
|
| 1. |
Room CRS agrees to provide electronic services to the provider of accommodation ("Provider") such that the Provider's product may be reserved online by third party customers ("Customer").
|
| 2. |
Room CRS agrees that Customer's credit card will be debited for a deposit amount upon reservation, and the credit card details will be made available to the Provider so that the balance due in respect of the product on arrival of the Customer, or the charge for first night in the event of a no-show by the Customer may be deducted by the Provider in accordance with Room CRS terms displayed on its websites.

Room CRS agrees to promote the Provider's product on some or all of its websites and through its network of affiliates.

The Provider agrees to charge the Customer the balance upon arrival, the balance being the difference between the full price quoted on the website and the deposit retained by Room CRS
|

The Provider agrees that the deposit retained by Room CRS will equal the charge for the services provided by the Provider and that the deposit retained by Room CRS will be 10% of the total price of accommodation booking.

The Provider agrees to charge the Customer, at the Provider's discretion, only in respect of the first night's stay in the event of a failure of the Customer to arrive.

| 7. |
The Provider agrees to make sufficient product available to Room CRS such that visitors to Room CRS sites will have product available for purchase.
|
| 8. |
The Provider agrees to honor all reservations made through the Room CRS network. This includes the reservations made for special event periods.
|
| 9. |
The Provider agrees to perform checks as necessary to ensure that all reservations taken by Room CRS are processed correctly such that the Customer receives the product purchased.
|
| 10. |
The Provider agrees that in the event of the Provider not honoring any reservation, the Provider shall find an equivalent product for the Customer without recourse to Room CRS
|
| 11. |
The Provider agrees that the Provider is responsible for updating and maintaining the pricing for its product through the Room CRS inbox and that the Provider is responsible for any data entry error which may arise in respect of pricing. This includes ensuring that correct pricing and availability is displayed for special event periods. The Provider agrees that the prices advertised by the Provider on our web site are no higher than on any other booking website.

The Provider agrees that Room CRS has no responsibility to the Customer for the making of bookings and that reservations are agreements between the Customer and the Provider, and that the Provider shall indemnify Room CRS in respect of loss and damage arising from any Customer claims.

Room CRS makes no representations, warranties or undertakings with respect to the Services provided under this agreement.
|
| 14. |
Room CRS shall have no liability to the Provider for loss or damage arising out of or in connection with this agreement, including but not limited to loss of data, income, profit or opportunity and third party claims, or for any indirect or consequential loss or damage.

| 15. |
The Provider warrants that any content, which relates to the Provider's product provided to Room CRS by the Provider, is owned by the Provider, and the content is true and accurate and not misleading.

| 16. |
The Provider hereby grants Room CRS (and any affiliates of Room CRS) a royalty free license to use the content.
|
| 17. |
The Provider agrees to indemnify and hold Room CRS and its affiliates harmless in respect of any claim by any third party arising from the use of the content by Room CRS or its affiliates.

| 18. |
Either party may terminate this agreement by giving 30-day advance written notice.
|
| 19. |
Any outstanding reservations must be honored by the Provider notwithstanding termination of the agreement.
|
| 20. |
The Provider undertakes on termination of this agreement to cease using and to refrain from further use of any software or service provided by Room CRS
|
| 21. |
Room CRS reserves the right to terminate this agreement with immediate effect in the event of failure by the Provider to comply with the terms and conditions of this agreement.

| 22. |
This Agreement shall be governed by the laws of the United States of America and the State where Room CRS head office is located.
|
| 23. |
IN WITNESS WHEREOF, the parties hereto have executed this Agreement effective as of the day and year first above written.
